These Terms and Conditions govern the access to and use of the Yocket website, mobile applications, and associated services provided by Avocation Educational Services Private Limited. Accessing, browsing, or otherwise using the Yocket platform signifies agreement to these terms. If you do not agree with these terms, you must immediately cease all use of the Yocket platform and its services. Continued use constitutes acceptance of this Agreement in its entirety.

- ◯ User-Generated Content (UGC): Any content submitted, posted, shared, or otherwise made available by Users on or through the Platform, including text, images, videos, forum posts, profile information, reviews, comments, messages, documents (such as drafts of Statements of Purpose or Letters of Recommendation shared for review), and other materials.
- ◯ Yocket Content: All content available on the Platform, excluding UGC, including text, graphics, logos, trademarks, software, features, tools, data compilations, and other materials owned by or licensed to Yocket.
- ◯ Premium Services: Specific enhanced features, personalized counseling, or other services offered by Yocket that require payment or subscription.
- ◯ Third-Party Services: Services offered by entities other than Yocket, which may be linked to, referred by, or facilitated through the Platform, such as educational loans, foreign exchange services, or university application portals.
- ◯ Data Fiduciary: As defined under the Digital Personal Data Protection Act, 2023, meaning any person who alone or in conjunction with other persons determines the purpose and means of processing of personal data. For the purpose of this Agreement and the use of the Platform, Yocket (Avocation Educational Services Private Limited) is the Data Fiduciary.

These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between the individual or entity accessing or using the platform ("User", "You") and Avocation Educational Services Private Limited, having its registered office at, ("Yocket", "We", "Us", "Our"). This Agreement governs your access to and use of the Yocket website located at https://yocket.com, any Yocket mobile applications, and all associated features, tools, content, and services offered thereon (collectively, the "Platform" or "Services").
For the purposes of this Agreement, the following terms shall have the meanings ascribed to them below:
By accessing the Platform, creating an account, clicking any button indicating acceptance (such as "I Agree" or "Sign Up"), or using any part of the Services, you signify your unconditional acceptance of these Terms and the Yocket Privacy Policy (Privacy Policy), which is incorporated herein by reference. If you do not agree to be bound by these Terms or the Privacy Policy, you are not authorized to access or use the Platform or Services and must discontinue use immediately.
These Terms are provided in the English language. While translations may be offered for convenience, the English language version of this Agreement shall prevail in the event of any conflict or discrepancy between the English version and any translated version. Notices required under applicable law, such as those mandated by the DPDP Act, may be provided in English and other languages specified in the Eighth Schedule to the Constitution of India, as required.

Yocket provides a comprehensive online platform designed to assist students aspiring to study abroad. The Services include, but are not limited to: access to information regarding universities, colleges, and courses in various countries; tools such as College Finder, Course Finder, and deadline trackers; resources for standardized test preparation (e.g., GRE); guidance on the application process, including Statement of Purpose (SOP) and Letter of Recommendation (LOR) assistance; information and facilitation related to student visas; access to a community forum for peer-to-peer interaction and information sharing; blogs, articles, and event listings related to studying abroad; financial tools such as score converters and facilitation of education loan and foreign exchange (Forex) services; and optional Premium Services offering personalized counseling and enhanced support.
Much of the content provided on the Platform, including details about universities, courses, admission requirements, deadlines, fees, visa procedures, and financial products, is aggregated from various sources or provided by third parties (including users) and is intended for informational purposes only. While Yocket endeavors to maintain accurate and up-to-date information, it does not warrant the absolute accuracy, completeness, reliability, or timeliness of such content. Users are advised to verify critical information directly with the relevant institutions or authorities. Reliance on any information provided on the Platform is solely at the User's own risk.
Yocket offers certain enhanced features and personalized advisory services ("Premium Services") which are available upon payment of applicable fees. These may include one-on-one counseling, application review by experts, essay editing, and specialized guidance. Access to and use of Premium Services may be subject to additional terms, conditions, or subscription agreements presented to the User at the time of purchase or enrollment, which shall supplement these Terms.
The Platform facilitates access to or provides information regarding services offered by independent third parties. Yocket acts solely as a facilitator, referrer, or information provider in these instances. Any transaction or engagement with such third parties, including application submissions, loan agreements, or Forex transactions, is governed strictly by the terms and conditions and privacy policies of those respective third parties. Yocket is not a party to such agreements and expressly disclaims any liability or responsibility for the services, actions, or omissions of these third parties. Users engage with third-party services at their own discretion and risk. The distinction between Yocket's own services and facilitated third-party services is important for managing legal exposure. While Yocket provides information and guidance, it does not underwrite loans, issue Forex cards, or grant university admissions. Clearly defining Yocket's role as a facilitator, particularly for financial products, helps delineate responsibilities and limit liability under financial regulations and consumer protection laws applicable to the direct providers of those services.
Yocket reserves the right, in its sole discretion, to modify, enhance, suspend, or discontinue, temporarily or permanently, the Platform or any Service (or any part thereof) with or without notice to the User. Yocket shall not be liable to the User or any third party for any modification, suspension, or discontinuance of the Services.

To access certain features and functionalities of the Platform, including community forums and personalized tools, Users may be required to register for an account. During the registration process, Users agree to provide information that is accurate, current, complete, and truthful. Users are obligated to maintain and promptly update their account information to keep it accurate, current, and complete. Providing false or outdated information may result in suspension or termination of the account.
Users are solely and entirely responsible for maintaining the confidentiality and security of their account credentials, including username and password. Users are responsible for all activities that occur under their account, whether or not authorized by them. Users must immediately notify Yocket of any suspected or actual unauthorized use of their account or any other breach of security. Yocket cannot and will not be liable for any loss or damage arising from the User's failure to comply with these security obligations.
Each User is generally permitted to create and maintain only one active account on the Platform. The creation of multiple accounts by a single User may lead to the suspension or termination of all associated accounts. Users are strictly prohibited from selling, trading, renting, leasing, or otherwise transferring their account to any other party. Impersonating another person to create an account is forbidden.
Users are solely responsible for their conduct while using the Platform, including the legality, accuracy, and appropriateness of any User-Generated Content they submit. Users agree to use the Platform and Services in compliance with these Terms, all applicable local, state, national, and international laws, rules, and regulations, and any applicable third-party terms.
IV. Acceptable Use and Community Conduct

- ◯ Intellectual Property Infringement: Hosting, displaying, uploading, modifying, publishing, transmitting, storing, updating, or sharing any information that infringes any patent, trademark, copyright, trade secret, or other proprietary rights of any party.
- ◯ Harmful/Offensive Content: Posting, transmitting, or storing content that:
- ■ Belongs to another person and to which the user does not have any right;
- ■ Is defamatory, obscene, pornographic, paedophilic, invasive of another's privacy (including bodily privacy), insulting or harassing on the basis of gender, libellous, racially or ethnically objectionable, relating or encouraging money laundering or gambling, or otherwise inconsistent with or contrary to the laws in force;
- ■ Is harmful to a child;
- ■ Deceives or misleads the addressee about the origin of the message or knowingly and intentionally communicates any information which is patently false or misleading in nature but may reasonably be perceived as a fact;
- ■ Impersonates another person;
- ■ Threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting other nation;
- ■ Contains software virus or any other computer code, file or program designed to interrupt, destroy or limit the functionality of any computer resource;
- ■ Is patently false and untrue, and is written or published in any form, with the intent to mislead or harass a person, entity or agency for financial gain or to cause any injury to any person. (This list incorporates requirements from the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and Yocket's community standards).
- ◯ Misinformation/Impersonation: Posting information known to be false, inaccurate, or misleading; creating a false identity or impersonating any person or entity. 1
- ◯ Security Violations: Attempting to probe, scan, or test the vulnerability of the Platform or any associated system or network; breaching security or authentication measures; introducing viruses, worms, trojans, spyware, rootkits, or other malicious software; engaging in denial-of-service attacks; conducting systematic or automated data collection activities (including scraping, data mining, data extraction, data harvesting) without Yocket's express written consent; imposing an unreasonable or disproportionately large load on the Platform's infrastructure. 1

- ◯ Loan Assistance/Referral: Terms related to loan referrals, including eligibility for referral rewards, are outlined in the relevant program details. Note that deposits paid to universities upon receiving conditional offers, potentially facilitated via partners, may be non-refundable as per university terms.

Subject to compliance with these Terms, Yocket grants each User a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform and its Services solely for personal, non-commercial purposes related to researching, planning, and preparing for studying abroad. This license does not permit any resale or commercial use of the Platform or its contents.
Users agree not to engage in, facilitate, or permit any of the following activities in connection with their use of the Platform:
Users must adhere to Yocket's Community Guidelines and Policies (Community Guidelines), which are hereby incorporated by reference into these Terms. Yocket's community guidelines aim to create a clean, authentic, and safe platform for users planning to study abroad by fostering a supportive and information-sharing environment. Users are expected to communicate respectfully, avoiding offensive, demeaning, or threatening language, and refraining from bullying or defamation based on nationality, gender, race, or religion. The guidelines prohibit posting irrelevant information, commercial advertisements, spam, misleading content, or links to external groups. Members should also respect others' privacy by not sharing personal or sensitive information, avoiding unnecessary messages, and refraining from selling services, with violations potentially leading to restrictions or being blocked from the platform.
Yocket reserves the right, but undertakes no obligation (unless required by law), to monitor the Platform and User activity. Yocket may, in its sole discretion, review, screen, edit, refuse to post, or remove any UGC, suspend or terminate User accounts, restrict access to the Platform, and take appropriate legal action against any User who violates these Terms, the Community Guidelines, or applicable law, without prior notice. Pursuant to its obligations as an intermediary under the Information Technology Act, 2000 and its associated rules, Yocket will act expeditiously to remove or disable access to information residing in or connected to a computer resource controlled by it, upon receiving actual knowledge or being notified by the appropriate Government or its agency that such information is being used to commit an unlawful act, in compliance with Section 79(3)(b) of the IT Act. Maintaining these enforcement rights and adhering to the IT Act's takedown requirements are crucial for Yocket to potentially benefit from the 'safe harbour' provisions, which limit liability for third-party content hosted on its platform.39 Diligent enforcement of acceptable use policies and compliance with legal takedown orders are essential components of the 'due diligence' required from intermediaries under Indian law.
V. Intellectual Property Rights
The Platform and all its original content, features, functionality, underlying software, code, designs, text, graphics, images, video, information, logos, button icons, audio files, service marks, trademarks (including "Yocket" and associated logos), and other intellectual property (collectively, "Yocket IP") are the exclusive property of Avocation Educational Services Private Limited and/or its licensors. Yocket IP is protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
Users are expressly prohibited from: (i) copying, reproducing, modifying, distributing, transmitting, displaying, performing, publishing, licensing, selling, renting, leasing, or sublicensing any Yocket IP; (ii) creating derivative works from any Yocket IP; (iii) using any data mining, robots, scraping, or similar data gathering or extraction methods on the Platform; (iv) reverse engineering, decompiling, disassembling, or otherwise attempting to discover the source code or underlying structure, ideas, or algorithms of the Platform or any Yocket IP; (v) using Yocket IP for any purpose other than accessing and using the Services as permitted by these Terms.
The Yocket name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Yocket or its affiliates or licensors. Users must not use such marks without the prior written permission of Yocket. All other names, logos, product and service names, designs, and slogans on this Platform are the trademarks of their respective owners.
VI. Privacy and Data Protection
Yocket is committed to protecting User privacy. The collection, use, storage, processing, sharing, and protection of Users' Personal Data is governed by the Yocket Privacy Policy, available at [Privacy Policy]. The Privacy Policy is hereby incorporated by reference into these Terms and forms an integral part of this Agreement. Users are strongly encouraged to review the Privacy Policy carefully to understand Yocket's data practices.
Yocket undertakes to process Personal Data in compliance with the applicable provisions of India's Digital Personal Data Protection Act, 2023 (DPDP Act) and any rules, regulations, or guidelines issued thereunder. This includes adhering to principles such as obtaining valid consent (which must be free, specific, informed, unconditional, and unambiguous, signified by clear affirmative action), ensuring data accuracy and security, processing data only for specified and legitimate purposes, providing requisite notices, fulfilling Data Principal rights (including the right to access, correct, update, complete, and erase Personal Data, and the right to grievance redressal), and implementing appropriate technical and organizational measures to protect Personal Data. The comprehensive details regarding compliance with the DPDP Act, including specific notice requirements, consent mechanisms, data breach notification procedures, handling of children's data, and processes for exercising Data Principal rights, are elaborated in the Yocket Privacy Policy. Relying on a separate, dedicated Privacy Policy is essential as the DPDP Act imposes numerous detailed obligations that require thorough explanation and cannot be adequately covered within the main body of the Terms and Conditions without compromising readability. This approach aligns with standard industry practice and legal requirements for transparency in data processing.
As further detailed in the Privacy Policy, Yocket may share User information, including Personal Data, with third-party service providers who perform services on its behalf (e.g., cloud hosting, data analytics, payment processing, communication services). Data may also be shared with partners, such as financial institutions for loan or Forex service facilitation, or advertisers, based on User consent or as necessary for providing requested services. Yocket maintains agreements with such third parties where required. Yocket represents that it does not rent or sell Personal Data to other people or non-affiliated companies except to provide products or services requested by the User, when it has the User's permission, or under circumstances described in the Privacy Policy or required by law.
Users are reminded to exercise caution regarding the information they share on the Platform, particularly in public forums or community sections. Users should avoid sharing unnecessary sensitive personal information (such as financial details, government identification numbers, or highly personal matters) publicly or with unfamiliar individuals online. Yocket's Community Guidelines explicitly advise against sharing phone numbers or private information with strangers.
By signing up, logging in, or verifying your identity via OTP on the Yocket platform, you expressly authorize and give your "Prior Explicit Consent" to Avocation Educational Services Private Limited (Yocket) and its group companies/partners, including Outleap Technologies Private Limited (Leap), to contact you. This consent overrides any registration on the National Do Not Call (NDNC) Registry or any DND (Do Not Disturb) database. You agree to be contacted via telephone calls, SMS, WhatsApp, and email for a period of two (2) years from the date of your last login or signup. These communications may include service updates, promotional offers, and educational counseling. You may revoke this consent at any time by contacting our support team or using the 'Unsubscribe' link in our communications.
VII. Third-Party Interactions
The Platform may contain links or references to websites, applications, resources, or services owned or operated by third parties. These links are provided solely as a convenience to Users. Yocket does not endorse, control, or assume any responsibility or liability for the content, products, services, privacy policies, or practices of any third-party websites or resources. Accessing and using any third-party links or resources is done entirely at the User's own risk.
As stated in Section 2.4, certain services accessible through or referred by Yocket, such as education loans or Forex services, are provided by independent third-party partners. Yocket acts merely as a facilitator or introducer. All terms, conditions, warranties, or representations associated with such third-party services are solely between the User and the applicable third party. Yocket disclaims all liability arising from or related to any transactions or interactions between Users and these third-party providers.
The Platform may display advertisements or promotions from third parties. Any correspondence, business dealings, or participation in promotions of advertisers found on or through the Platform, including payment and delivery of related goods or services, and any other terms, conditions, warranties, or representations associated with such dealings, are solely between the User and such advertiser. Yocket shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Platform.
VIII. Fees, Payments, and Refunds
Access to certain Premium Services on the Platform requires payment of fees. Details regarding available Premium Service plans, associated features, subscription durations, applicable fees, billing cycles, and accepted payment methods will be presented to the User at the time of purchase or subscription. 5 Specific Premium Service plans may be governed by separate agreements or terms provided during enrollment.
Yocket utilizes third-party payment gateways to process payments for Premium Services. By making a payment, Users agree to abide by the terms and conditions of the relevant payment gateway. While Yocket implements reasonable security measures, it is not responsible for the security or performance of third-party payment processors. Users may be subject to additional charges levied by the payment gateway provider (e.g., merchant service fees, currency conversion fees).
Yocket maintains a general "NO-REFUND" policy for fees paid for its Services, including Premium Services. All necessary information regarding services is provided upfront via the website, communications, and contract documents. Users are expected to be committed to the process. However, this policy is subject to mandatory provisions of applicable Indian consumer protection laws, including the Consumer Protection Act, 2019 and the Consumer Protection (E-commerce) Rules, 2020. While fees for services duly rendered are non-refundable, refunds may be processed where required by law, such as in cases of proven deficiency in service, non-delivery of core promised service elements attributable solely to Yocket, or misrepresentation violating consumer rights. Users facing issues should contact support@yocket.in promptly. Yocket shall not impose cancellation charges on consumers cancelling after confirming purchase unless similar charges are borne by Yocket if it cancels the purchase order unilaterally without valid reason attributable to the user. This qualified approach is necessary because a strict no-refund policy could potentially contravene consumer protection legislation in India, which mandates remedies for deficient services or unfair trade practices. Balancing the stated policy with legal obligations ensures compliance while managing expectations.
IX. Disclaimers of Warranties
THE PLATFORM, SERVICES, AND ALL CONTENT (INCLUDING YOCKET CONTENT) ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, YOCKET DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
YOCKET DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE PLATFORM, SERVICES, OR ANY CONTENT AVAILABLE THEREON IN TERMS OF THEIR CORRECTNESS, ACCURACY, COMPLETENESS, RELIABILITY, TIMELINESS, SUITABILITY, OR OTHERWISE. THIS INCLUDES, WITHOUT LIMITATION, INFORMATION RELATED TO UNIVERSITIES, COURSES, ADMISSION CRITERIA, APPLICATION DEADLINES, VISA REQUIREMENTS, FINANCIAL DATA (INCLUDING LOAN OR FOREX INFORMATION), USER-GENERATED CONTENT, OR ANY ADVICE OR FEEDBACK PROVIDED BY YOCKET COUNSELORS, EDITORS, OR STAFF. USERS ACKNOWLEDGE THAT ANY RELIANCE ON SUCH INFORMATION IS STRICTLY AT THEIR OWN RISK.
YOCKET PROVIDES TOOLS, INFORMATION, AND GUIDANCE TO ASSIST USERS IN THEIR STUDY ABROAD JOURNEY, BUT IT DOES NOT GUARANTEE ANY SPECIFIC OUTCOMES. YOCKET EXPRESSLY DISCLAIMS ANY GUARANTEE OR WARRANTY REGARDING: (I) ADMISSION TO ANY PARTICULAR UNIVERSITY OR PROGRAM; (II) SUCCESSFUL OBTAINMENT OF A STUDENT VISA; (III) APPROVAL OF ANY EDUCATION LOAN OR FINANCIAL AID APPLICATION; (IV) ACHIEVEMENT OF SPECIFIC SCORES ON STANDARDIZED TESTS (E.G., GRE, TOEFL, IELTS); OR (V) ANY PARTICULAR ACADEMIC, CAREER, OR PERSONAL ADVANCEMENT AS A RESULT OF USING THE SERVICES. ADMISSION, VISA, AND FINANCIAL AID DECISIONS ARE MADE SOLELY BY THE RELEVANT THIRD-PARTY INSTITUTIONS OR AUTHORITIES AND DEPEND ON NUMEROUS FACTORS BEYOND YOCKET'S CONTROL, INCLUDING THE USER'S ACADEMIC PROFILE, APPLICATION QUALITY, INTERVIEW PERFORMANCE, AND THE POLICIES OF THE INSTITUTIONS INVOLVED.
YOCKET DOES NOT WARRANT THAT THE PLATFORM OR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. YOCKET DOES NOT WARRANT THAT THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOCKET WILL EXERCISE COMMERCIALLY REASONABLE EFFORTS TO ADDRESS REPORTED DOWNTIME OR ERRORS BUT DOES NOT GUARANTEE CONTINUOUS AVAILABILITY.
X. Indemnification
You agree to defend, indemnify, and hold harmless Yocket, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms or any applicable law or regulation; (b) your User-Generated Content, including any claim that it infringes or violates the rights of any third party; (c) your use of the Platform or Services in any manner other than as expressly authorized in these Terms; (d) your interaction with any other User or third party through the Platform; or (e) any activity related to your account conducted by you or any other person accessing your account. Yocket reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate fully with Yocket in asserting any available defenses.
XI. Termination
Users may terminate their account and cease using the Services at any time. Instructions for account deletion may be available on the Platform or can be obtained by contacting Yocket support. Termination by the User does not relieve them of any obligations incurred prior to termination.
Yocket reserves the right, in its sole discretion, to suspend, restrict, or terminate a User's access to all or any part of the Platform or Services at any time, for any reason or no reason, with or without prior notice, and without liability. Grounds for termination or suspension include, but are not limited to: (i) violation of these Terms or the incorporated Privacy Policy or Community Guidelines; (ii) engaging in illegal, fraudulent, or abusive activities; (iii) non-payment of applicable fees for Premium Services; (iv) actions that may cause harm, damage, or liability to Yocket, its Platform, other Users, or third parties; (v) requests by law enforcement or other government agencies; (vi) extended periods of inactivity; or (vii) unexpected technical or security issues. Yocket may also terminate access for non-compliance with rules and regulations as required under the IT Rules, 2021.
Upon termination of a User's account or access, their right to use the Platform and Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive. Termination does not affect any rights or obligations that accrued prior to the termination date. The handling and retention of the User's Personal Data post-termination will be governed by the Yocket Privacy Policy and applicable data protection laws, such as the DPDP Act, which may require deletion of data once the purpose for collection is no longer served or consent is withdrawn, subject to legal retention requirements.
XII. Legal Compliance Statements
Yocket operates as an 'intermediary' as defined under the Information Technology Act, 2000 ("IT Act"). Yocket is committed to complying with the applicable provisions of the IT Act and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 ("IT Rules"), including observing due diligence requirements, publishing necessary policies (including these Terms, Privacy Policy, and Community Guidelines), informing users of prohibited content, and implementing mechanisms for grievance redressal and content moderation as required by law.
Yocket is committed to processing Personal Data in accordance with the Digital Personal Data Protection Act, 2023 (DPDP Act) and its associated rules, as detailed further in the Yocket Privacy Policy and referenced in Section VI of these Terms.
Yocket endeavors to comply with the Consumer Protection Act, 2019, and the Consumer Protection (E-commerce) Rules, 2020 ("E-commerce Rules"). This includes commitments towards transparency, fair trade practices, accurate information disclosure regarding services and sellers (where applicable), and maintaining an effective grievance redressal mechanism for consumers.
For services facilitated by Yocket involving third-party financial products like Forex or education loans, Users acknowledge their own responsibility to comply with all applicable laws and regulations, including guidelines issued by the Reserve Bank of India (RBI) or other relevant authorities. Yocket acts only as a facilitator and does not provide regulated financial services directly.
XIII. Miscellaneous
Yocket reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, Yocket will provide reasonable notice prior to any new terms taking effect, which may include posting the updated Terms on the Platform or sending a notification via email or through the Platform interface. The "Effective Date" at the top of these Terms indicates the date of the latest revision. By continuing to access or use the Platform or Services after those revisions become effective, the User agrees to be bound by the revised Terms. Users are encouraged to review these Terms periodically for changes.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, it shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions of these Terms, which shall remain in full force and effect.
No waiver by Yocket of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure or delay by Yocket to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
These Terms, together with the Yocket Privacy Policy and any other legal notices or specific agreements (such as for Premium Services) published by Yocket on the Platform or provided to the User, shall constitute the entire agreement between the User and Yocket concerning the Platform and Services. This Agreement supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between the User and Yocket with respect to the Platform.
Users may not assign or transfer their rights or obligations under these Terms, in whole or in part, by operation of law or otherwise, without Yocket's prior written consent. Any attempt by a User to assign or transfer these Terms without such consent will be null and void. Yocket may assign or transfer its rights and obligations under these Terms, in whole or in part, without restriction or notification to the User.
